Warum sollte sie nicht zu OW gehen? Ich wäre zwar auch für die *A aber nach dem Abgang von Shanghai Airlines würde ich nichtsmehr ausschließen...

Das wäre für mich zumindest die Nachricht des Tages, wenn LAN zu *A wechseln würde, bzw. ich auf LAN *A Benefits hätte und Meilen einlösen könnte.

LAN ist der wesentlich stärkere Part in dem Deal. Insofern werden die bestimmen, wo die Reise hingeht. Es ist faktisch eine Übernahme der TAM durch LAN. Damit ist ein Exit von TAM aus der *A wahrscheinlich.

sehr gute nachrichten ... LAN hat schon lange versucht auf brasilianischen boden fuss zu fassen. eine enge kooperation mit TAM gibt es schon seit längerem. ich hoffe dass das gesamtkonglomerat bestandteil von oneworld bleibt bzw. wird.

SANTIAGO , CHILE and SAO PAULO, BRAZIL - August 13, 2010 - LAN Airlines S.A. (LAN) (NYSE: LFL/IPSA: LAN) and TAM S.A. (TAM) (BM&FBOVESPA: TAMM4/NYSE: TAM) today announced that they have entered into a non-binding MOU that outlines their intentions to combine their holdings under a single parent entity. The combination would create a new Latin American airline group that would offer seamless passenger and cargo service across the continent and around the world. The new group, to be known as LATAM Airlines Group, would include Lan Airlines and its affiliates in Peru, Argentina and Ecuador; Lan Cargo and its affiliates; TAM Lineas Aereas S.A.; TAM Mercosur and all other holdings of LAN and TAM. The transaction is subject to both parties entering into a binding definitive agreement and satisfaction of conditions, including corporate and shareholder approvals and actions and regulatory approvals.

Each of the airlines in the group would continue to operate under their existing operating certificates and brands. The carriers would work to build a comprehensive network of international passenger flights and cargo services throughout the region. Growth enabled by the transaction would reach new destinations, create more opportunities for employees of both companies and more value creation for shareholders and would foster economic development and job growth in the home countries of the Group airlines and the countries they serve.

The all-stock transaction would consolidate the economic interests of LAN and TAM under a single parent entity while satisfying the foreign ownership and control requirements of each country where they operate. In connection with the transaction, LAN Airlines S.A. would be renamed LATAM Airlines Group S.A. (LATAM) and would serve as a parent company that will align activities for all group holdings. TAM shareholders would be offered 0.90 shares of common stock of LATAM for each share of TAM.

LATAM would retain its listing in the Santiago stock exchange and its ADR listing in the New York Stock Exchange and plans to list its shares, via BDRs, in the Bovespa in Brazil.

Within the group, TAM would continue to operate as a Brazilian company with its own structure. The current holdings of LAN Airlines S.A. would operate as an independent business unit within the group (and be referred to as LAN Airlines). Each airline within the group would maintain its current headquarters and governance structure.

The controlling shareholders of LAN and TAM have agreed to a governance model to jointly manage strategic decisions relating to the alignment of the activities of LATAM group holdings. Mauricio Rolim Amaro, currently Vice-chairman of the Board of Directors at TAM S.A., will serve as Chairman of Board of Directors of LATAM and Enrique Cueto, currently CEO of LAN, will serve as LATAM CEO.

Within the Group, Maria Claudia Amaro, currently Chairman of the Board of Directors of TAM, will serve as Chairman of TAM under the new structure. Marco Bologna, currently President/CEO of TAM S.A. will serve as CEO of TAM. Libano Barroso, currently president of TAM Lineas Aereas S.A., will remain in that capacity. Ignacio Cueto, currently President/COO of LAN, will serve as CEO of LAN Airlines.

“This is the completion of the vision of our founder, Captain Rolim, who believed that in an open skies market, a large Latin American airline group would provide much more competitive services to our passengers and cargo customers” said Marco Bologna, CEO of TAM. “Combining our strengths and complementary networks will bring great benefits to our customers, employees, shareholders and Latin America. Together, LAN and TAM will be able to offer new destinations that neither company could have supported on its own. This will position us to compete with the foreign carriers that continue to increase service to our region while creating new jobs in our home countries.”

Enrique Cueto, CEO of LAN Airlines said: “Today is a great day for LAN, our customers, our employees and our shareholders. Together we have built LAN into a true leader in Latin America. We have much to be proud of and much to be thankful for. But as the industry consolidates, we cannot stand still. Today we announced our intention to join forces with our friends at TAM, setting forth on a journey that will create one of the leading airline groups in the world. They share our passion for service, for integrity and our belief in the great potential of the Latin American market. With this combination, we take two Latin American leaders and create a global leader that will make Latin Americans proud.”

The combined airline group would provide passenger services to more than 115 destinations in 23 countries while providing cargo services throughout Latin America and across much of the globe. The airlines of the group would operate a fleet of more than 220 aircraft, and have more than 40,000 employees. In 2009 these carriers had combined revenues of US $8.5 billion, carried more than 45 million passengers and carried combined cargo of 832,000 tons. The Group would be among the leading airline groups in the world in terms of size, profitability and market reach.

The combination is expected to generate annual synergies of approximately US $400 million. These synergies are expected to come broadly in equal proportion from alignment of the passenger networks, growth in the cargo network (both internationally and in Brazil), and reduced cost. Management expects that it would be able to implement approximately one third of the synergies within the first year following the close of the transaction and all synergies by the end of the third year.

Employees would benefit from enhanced career opportunities and faster growth as a result of the combination. The scale and diversity of the new carrier would provide more stability and greater financial strength, benefiting all stakeholders. The combined airlines would have more than 200 aircraft scheduled for future delivery, driving growth and increased employment across the region.

Passengers would benefit from an increase in flights, destinations, and connections as a result of this combination. The combined carrier would allow for seamless travel throughout the region and beyond. Frequent flyer program members would be able to earn and redeem miles on more flights, and be able to earn miles through more partners than ever before.

Cargo customers would have access to the most comprehensive cargo network in Latin America - with more capacity, frequency, and destinations than any other carrier. The combined carriers would work quickly to ensure that customers can book, ship and track cargo seamlessly across the expanded network.

Under the MOU, the two companies will now engage in exclusive negotiations towards a binding definitive agreement, which shall be subject to reaching agreement on the final documentation, due diligence, respective corporate and shareholder approvals and actions, and regulatory approvals. No assurances can be given that a binding definitive agreement will be entered into or that the combination will be completed.

Das wäre ein weiterer Verlust für Oneworld, wenn LAN zu *A wechselt.

Das wird wohl so nicht passieren.

TACA, eine der grössten ''Feinde'' von LAN möchte ebenfalls zur *A, da wäre ein Eintritt in die *A von LA aus meiner Sicht unrealistisch...

Insbesondere auf den Strecken ex LIM macht TACA der LAN schon seit längerem mit ''Kampfpreisen'' und den damit verbundenen sehr sehr hohen Load Factors das leben schwer.

Sehr sehr deutlich wird dies auf den Strecken SCL-LIM-SCL, LIM-GYE-LIM, LIM-CUZ-LIM etc, während TACA (fast immer!!) fully booked fliegt, sind die 763 von LAN nur zu 60% oder weniger belegt.

Besonders deutlich wird das auf der Strecke LIM - GYE - LIM, seitdem TACA seit einigen Wochen meist 2x täglich im Tagesrand die Strecke fliegt, LA aber mit der völlig überdimensionierten 763, sind die Loads, die schon vorher nicht so berauschend waren (meist unter 70%) noch tiefer in den Keller bei LA gerutscht. Und TACA ist immer weiter am expandieren...

wie meinst du die stärkerer part? Ich bin aus brasilien und kenne Tam zimlich gut.
Flieger hat TAM mehr, mehr inlands flüge und internationale flüge als LAN.

Tam hat:
143 flieger (grossteil Airbus)
720 innlandsflüge täglich
90 tägliche internationale flüge
Fliegt direkt an 18 ländern + 78 mit *A

gegen:

86 maschinen der Lan
fliegt nach 70 ländern direkt (+70 1world)

Gut, international hat LAN mehr flüge, aber der brasilianische mark ist so gross, das auch in finanziel TAM glaube ich mehr macht hat als LAN.

Naja, ich freue mich das Süd-amerika jetzt mehr respektiert wird mit dieser partnerschaft, Seit der lieben VARIG gibts es keine grosse annerkennung mehr =)

Sorry für alle meine fehler, wie gesagt, bin aus brasilien und wollt hallt mal mit typpen hir, ich hoffe das es euch was dazu bei gebracht hat, auch wenn jetzt nicht alle daten stimmen :p

Das ist doch wohl der entscheidende Satz!

Den Aktionären von TAM werden 0,9 Aktien für jede ihrer TAM-Aktien angeboten.
Für mich ist es dann eine Übernahme der TAM durch LAN.

Und vor diesem Hintergrund wird damit die OneWorld größer und die Star kleiner. nicht umgekehrt!

Den Aktionären von TAM werden 0,9 Aktien für jede ihrer TAM-Aktien angeboten.
Für mich ist es dann eine Übernahme der TAM durch LAN.

Und vor diesem Hintergrund wird damit die OneWorld größer und die Star kleiner. nicht umgekehrt!

Wobei ich vor allem mit dem (Wieder-) Beitritt von GOL / Varig sehr gut leben könnte. Nennen wir das Wunschdenken ;)

Zusammen mit TACA / AVIANCA (erstere sind ja bereits bei M&M) wäre dann der Kontinent mit Star wieder abgedeckt - und hier ist der Beitritt früher oder später ziemlich wahrscheinlich.

Und vielleicht kommt ja Mexicana zu Star zurück :censored:

We deeply value the alliance relationships we have built. In the short term, there will be no changes regarding our alliance partners. Continue to book and fly on alliance partners as you would today. After the transaction is completed, LATAM would evaluate the best alliance options for the combined carrier group.

wie meinst du die stärkerer part? Ich bin aus brasilien und kenne Tam zimlich gut.
Flieger hat TAM mehr, mehr inlands flüge und internationale flüge als LAN.

Ich meine damit, dass LAN wesentlich kapitalstärker ist und so ist der Deal ja auch gestrickt. LAN übernimmt TAM.

Hallo miteinander,

ich bin sehr gespannt, mit welcher Allianz die zu fusionierende LA TAM künftig fliegen wird.
Persönlich bin ich zwar überhaupt nicht betroffen (war nur einmal mit VARIG in BRA vor Jaaahren), aber in Airline-strategischer Sicht dürfte das interessant werden.

Vor allem, wenn die neue LATAM unter LAN-Management zu oneworld "wechselt"?. Dann nämlich würden sich doch einige fragen, wieso TAM gerade bei *A aufgenommen wurde.

Was meint Ihr?

einerseits die namen beider gesellschaften geschickt eingebaut
andererseits ist latam die abkürzung für lateinamerika (y)

Das fragen sich sowieso einige...

Immerhin hat TAM jetzt schon seit mehr als 3 Jahren niemanden mehr umgebracht. Wenn sie das noch 3 weitere Jahre durchhalten, steige ich auch wieder ohne Angstzustänge in ein Flugzeug von denen.

G3/RG ist ja noch allianzlos und deckt mittlerweile (wieder) fast ganz Südamerika mit einem guten Produkt ab, zudem sind FFP, Lounges etc. vorhanden. Es wäre doch an der Zeit, die traditionellen Verbindungen (schon aus der Vorkriegszeit) zur Lufthansa und damit auch zur *A wieder aufleben zu lassen. (y)

Aber Achtung, AF/KL, DL auf der einen und AA auf der anderen Seite haben mittlerweile schon die Fühler ausgetreckt...

LAN-TAM alliance decision not expected until at least 2012: Barroso

Barroso says TAM for now plans to stay in Star while LAN plans to stay in Oneworld as the two carriers focus on completing the merger transaction. Reiterating comments made by LAN CEO Enrique Cueto during a 13 August call with investors, Barroso says "in our view it's too early to think about" potentially selecting one alliance for both carriers.
"First of all we have six to nine months on the integration period and during that we have to look for the external third-party authorisation - meaning regulatory, stock exchange offer and so on. Beyond that as we integrate and decide on the comprehensive network for the joint combined companies will be time for us to discuss if we will maintain two independent alliances - meaning Star for TAM and oneworld for LAN - or if we discuss in future a single alliance for LATAM," Barroso explains.
He adds that while the two carriers do not plan to discuss alliances until after LATAM is formally up and running, "for sure this is an issue that we will be able to address in future. We believe it will take at least a year to answer on this decision process".

Nach den feinen Regeln der Stochastik solltest Du aber gerade jetzt so oft wie möglich mit TAM fliegen, denn gemäss Statistiken, welche überall herumschwirren, ist es wahrscheinlicher, dass in 3 Jahren etwas passiert und weniger wahrscheinlich, dass jetzt etwas passiert. :cool:
